US reporting

Say goodbye to email and Excel.

Your Section 16 roster, holdings, and deadlines sit on the insider list you already keep for your home market.

A roster with Section 16 enabled

Move your roster off Excel

Your directors, officers, and 10% holders are loaded from one CSV, with each role and its effective date. No rekeying.

How it works

Switch on US reporting in three steps.

1

Switch on

Confirm who reports and what they hold, then enable US ownership reporting for every roster you keep.

2

Designate members

Give each member a reporting role (director, officer, or 10% holder) with an effective date and their broker accounts. One CSV loads them all.

3

Report transactions

Load transactions from clearances, personal reports, or a CSV. Each required Form is drafted automatically with its deadline for your filing agent.

In depth

Follow a director from roster to filed Form.

Take a UK company listed on Nasdaq, with its directors already on an InsiderList roster.

A roster member's Designations section showing Director and Officer with effective dates

Switch on US reporting for the roster you keep

Your administrator enables US ownership reporting and records each person's roles and effective dates.

A person can hold director and officer designations, each with a title and dates, so you can show who was an officer on March 1.

Broker accounts carry their own effective dates, and each person sees their designation and accounts in the portal. Membership stays on the Section 16 roster.

A Form 4 filing card with the due date, the rule and the related entity named

Review every transaction, gifts included

A director's gift to a family trust goes to Section 16 review as a transaction by a related entity. Your corporate secretary reviews its effect on the holding.

Where Form 4 applies, the Form shows the deadline and the rule that set it, as Calendars & deadlines explains.

Once the accession number is back, balances are checked against the holding, and any difference opens an exception. The website-posting deadline is added too.

Transaction list with a home-market notification and a US Form 4, each labeled with its regime

See both regimes on one screen

In one transaction list, last month's home-market notification sits a row above the US Form 4. Each is labeled with its regime, and both move the same holding.

Nobody adds up notifications by hand. Each director sees their own holding, blackout period, and Form due dates in the portal.

One report per person covers both regimes in date order.

Home-market roster screen

Keep your home market exactly as it is

Your PDMR and PCA lists, Article 19 notifications, closed-period notices, and dealing clearance run as they do today, with the same labels and reports.

Section 16 adds US reporting to your roster, and nothing a home-market colleague sees changes unless they open it.

Explore the platform lists every US module.

Related persons portal screen with one notice status per regime

Related persons

Record a related person once and notify under each regime.

One related person and two regimes mean two notices, so the relationship is recorded once and each notice separately.

Record each relationship once

Each director's dated relationship with each related person is recorded once for both regimes and named on indirect Form 4 lines.

Send one notice per obligation

Each notice is tracked separately on the director's page, so sending the home-market notice never completes the US acknowledgment.

Approve each director's changes

Directors update their own related persons in the portal, and each change waits for your approval.
